Calo Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Mind Stone Inc. ("Mind Stone," "we," "us," or "our") governing your use of Calo, our AI-powered family calendar and household-coordination service, including the Calo mobile app and related cloud services (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.


1. Who We Are

The Service is provided by Mind Stone Inc., 800 N King Street, Suite 304-2084, Wilmington, DE 19801, USA (New Castle County, Delaware).


2. Eligibility and Accounts

2.1 Eligibility

You must be at least 18 years old (or the age of majority where you live) to create an account and accept these Terms. The Service is intended to be set up and managed by an adult. Children may participate only as family members added and supervised by a parent or legal guardian (see Section 5).

2.2 Your account

You can register with email and password (minimum 8 characters) or sign in with Apple or Google. You agree to provide accurate information, keep your credentials secure, and notify us promptly of any unauthorized use. You are responsible for activity under your account.


3. The Service

Calo helps families coordinate daily life. Features may include:

We may add, change, or discontinue features. The Service depends on internet connectivity and third-party providers, and may be unavailable during maintenance or outages.


4. AI Features — Important Disclaimers

Calo's AI output may be inaccurate, incomplete, or unsuitable. It is generated by automated systems, including third-party large-language models. You are responsible for reviewing AI suggestions before relying on them.


5. Family Accounts, Members, and Others' Information

The Service is organized around a "family" that you create or join. The family administrator can add members (including children, elderly relatives, and pets), and information added by members may be visible to others in the family.

When you add a member, invite a guest, or provide someone's email address or phone number (for invitations or summaries), you represent that you are entitled to share that information and have any necessary consent. If you add a child, you represent that you are the child's parent or legal guardian, you consent to the processing of the child's information as described in the Privacy Policy (consistent with COPPA and GDPR-K), and you are responsible for supervising the child's participation. You may review and delete a member's information at any time.


6. Connected Third-Party Services

You may connect external calendars and accounts (Google, Microsoft, Apple, CalDAV) and use features powered by third parties (such as maps/places and recipe data). You authorize us to access those services per the permissions you grant, and your use of them may also be subject to the third party's own terms. You can disconnect a connected account at any time. We are not responsible for third-party services we do not control.


7. Your Content

"Your Content" means the calendars, events, profiles, messages, photos, lists, and other information you provide. As between you and us, you retain your rights in Your Content. You grant Mind Stone a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service as described in these Terms and the Privacy Policy. You are responsible for Your Content and for having the rights necessary to provide it.

9. Subscriptions and Payments

Some features may require a paid subscription (e.g., "Calo Plus"). Subscriptions are sold and billed through the Apple App Store or Google Play and managed via RevenueCat. Prices, billing periods, and auto-renewal terms are presented at purchase. Subscriptions renew automatically unless canceled, and you manage or cancel them through your app-store account. Refunds are handled under the applicable app store's policies, except where the law requires otherwise.


10. Communications

You agree that we may send you service-related messages (such as verification codes, reminders, and important notices). The Service can also send invitations and summaries to recipients you designate, including by email or SMS to family members who do not use the app — you are responsible for ensuring those recipients consent to receive them.


11. Intellectual Property

The Service, including the Calo software, AI assistant, designs, trademarks, and related content, is owned by Mind Stone or its licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. All rights not expressly granted are reserved.


12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that AI output will be accurate, or that connected third-party data will be complete or current.


13. Limitation of Liability

To the maximum extent permitted by law:

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.


14. Indemnification

You agree to indemnify and hold harmless Mind Stone and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, your Content, or your violation of any law or third-party right (including information you provide about other people).


15. Suspension and Termination

You may stop using the Service and delete your account at any time in the app. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or others. Sections that by their nature should survive termination (including Sections 7, 11, 12, 13, and 14) will survive.


16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your country of residence apply.

17. Dispute Resolution; Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

17.1 Informal resolution first. Before starting a formal proceeding, you agree to contact us at legal@ourcalo.com and give us 60 days to resolve the dispute informally. Most concerns can be resolved this way.

17.2 Binding arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding individual arbitration, rather than in court, administered by JAMS under its applicable consumer arbitration rules (or by another nationally recognized arbitration administrator we designate). Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class-action and jury-trial waiver. To the maximum extent permitted by law, you and Mind Stone agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims. You and Mind Stone waive any right to a jury trial.

17.4 Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or equitable relief in court to protect intellectual property or stop unauthorized use of the Service. Nothing here requires arbitration of claims that, by law, cannot be subject to a pre-dispute arbitration agreement.

17.5 30-day right to opt out. You may opt out of this arbitration agreement (Sections 17.2–17.3) by emailing legal@ourcalo.com with your name and account email within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

17.6 Consumers outside the United States. If you reside in the EEA, the UK, or another jurisdiction whose mandatory law prohibits or limits pre-dispute arbitration or class-action waivers for consumers, Sections 17.2–17.3 do not apply to you to the extent prohibited, and you retain the right to bring proceedings in, and have disputes governed by the law of, your place of residence.

17.7 Court venue. Where a dispute is not subject to arbitration, it will be resolved in the state or federal courts located in Delaware, unless applicable law gives you the right to bring proceedings elsewhere.


18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by other reasonable means before they take effect and update the "Last updated" date above. Your continued use of the Service after the effective date means you accept the updated Terms.


19. Miscellaneous

These Terms, together with the Privacy Policy and any app-store terms, are the entire agreement between you and Mind Stone regarding the Service. If any provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
